Hampden Group, Inc. reverse-merged with Color Genesis, Inc., a Georgia corporation doing business as MyPhotopipe.com, Inc.  As a result of this reverse merger, MyPhotopipe.com, Inc. became a public company, new board members were elected and the original HGI board members resigned.  The new board of MyPhotopipe.com, Inc. then sold the pre-merger assets of Hampden Group, Inc. to Hampden Group Holdings, Inc., a privately-held Nevada coporation representing former HGI debt holders.
